I have to convert my model from Matlab R2006b to Matlab R2011b. Is there any problem that I could encounter while converting?

Probably not, unless you use an obsolete function that has been removed. Try it and see. By the way, why are you converting a really old release to an old release? Why not convert to the latest release as long as you are upgrading?
