Have you tried this one?
read the file by using arcgridread
and write the file as following
geotiffwrite(filename,read_data) detail
The answer is here
Disclaimer: Personally I have not tried it.

Thank you sir, byt i didnt understand the "read_data". it shows error. Using arcgridread , i can read the grd file. "geotiffwrite" command shows error. "Undefined function or variable 'read_data'."
